Panorama End User Licence Agreement

Copyright © 2026 Vantic. All rights reserved. Last updated: 20 October 2026.

Please read this agreement before you install or use Panorama. By installing, copying or using Panorama you agree to it. If you do not agree, do not install or use Panorama.

1. Who this is between

Panorama is a macOS application made by Vantic of Melbourne, Victoria, Australia ("Vantic", "we", "us"). This agreement is between you and Vantic. It covers the Panorama application, its updates and its documentation (together, the "Software"). Panorama is the name of the Software; Vantic is the owner and licensor.

If you accept this agreement for an organisation, you confirm that you have authority to bind it, and "you" means that organisation.

2. Your licence

Vantic grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the Software on any Mac that you own or control, for personal or commercial purposes, subject to this agreement.

The Software is licensed to you, not sold. Vantic and its licensors keep all rights in the Software that this agreement does not expressly give you. The source code is confidential and is not licensed to you.

3. Free during early access, and paid plans later

Panorama is free to use during early access. Vantic may introduce paid plans or subscriptions for some or all of the Software in the future.

If we do, we will give you notice first, in the Software, on the Panorama website or both, and we will say what changes and when. Nothing will be charged for use before the date in the notice. If you keep using the Software after that date, you accept the new terms. If you do not accept them, you can stop using the Software and uninstall it at any time.

Early access also means that features may change, move or be removed as Panorama develops.

4. What you may not do

Except to the extent that applicable law does not allow this restriction, you must not:

(a) copy the Software, other than to install it and to make ordinary backups;

(b) modify, adapt or translate the Software, or create derivative works based on it;

(c) reverse engineer, decompile or disassemble the Software, or try to discover its source code, other than as applicable law expressly permits despite this restriction;

(d) redistribute, sell, rent, lease, lend, sublicense or host the Software for others, or offer it as part of a service;

(e) remove or change any copyright, trademark or other proprietary notice in the Software; or

(f) use the Software, or Vantic's website, installer or update service, in a way that disrupts them or tries to get unauthorised access to them.

5. Open-source and third-party components

The Software includes open-source components, including Electron and Chromium. Each is licensed under its own terms, not under this agreement. Their notices are in the Software: choose Help → Third-Party Notices, or read THIRD_PARTY_NOTICES.txt in the application's Resources folder. Nothing in this agreement limits any right you have under those licences.

6. Agent CLIs and AI services

Panorama runs command-line coding agents that you install yourself, such as Claude Code, Codex and Gemini CLI, and can optionally send prompts to an AI provider that you choose. Those tools and services are separate products made by other companies. Vantic does not provide, control or endorse them.

You are responsible for:

(a) having the accounts, subscriptions or API keys they need;

(b) following their terms and policies;

(c) any fees, usage charges and rate limits they apply, including usage caused by teams, loops and relays you switch on in Panorama; and

(d) what agents do in your projects. Agents can run commands and change files. Review their work, and keep backups and version control.

7. Your content

Your code, files, prompts and terminal output stay yours. Vantic claims no rights in them. Panorama keeps them on your Mac and does not send them to Vantic. See the Privacy Policy.

8. Privacy

Our Privacy Policy explains what leaves your Mac and what is stored on it. It is at Help → Privacy Policy and on the Panorama website, and is a part of this agreement.

9. Updates

Panorama can check whether a new version is available. You can turn this off in Settings → Check for updates. We may release updates, fixes and new features, and we may change or remove features. Updates are covered by this agreement unless they come with new terms. We may stop supporting older versions.

10. Ownership, names and feedback

Vantic and its licensors own the Software, the Panorama name and the Panorama logo. You get no rights in them beyond this agreement. Names and logos of other products belong to their owners, and using them in Panorama does not imply endorsement.

If you send us feedback or suggestions, you allow Vantic to use them without obligation to you.

11. Ending this agreement

This agreement lasts until it ends. You can end it at any time by uninstalling the Software and deleting your copies. Vantic can end it by notice to you if you breach it. When it ends, your licence ends and you must stop using the Software. Clauses 4, 5, 7, 10 and 12 to 17 continue to apply afterwards.

12. Disclaimer

To the extent permitted by law, and subject to clause 13, the Software is provided "as is" and "as available", and Vantic gives no warranty that it will be error-free, uninterrupted or fit for your particular purpose. Early-access software can contain bugs. AI agents can be wrong, so check what they produce. Keep backups of anything that matters.

13. Australian Consumer Law

Nothing in this agreement excludes, restricts or modifies any right or remedy, or any guarantee, warranty or other term or condition, implied or imposed by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other law that cannot lawfully be excluded, restricted or modified (together, "Non-Excludable Rights").

If you are a consumer, you may have rights to a replacement or refund for a major failure and compensation for other reasonably foreseeable loss or damage.

Where the law allows Vantic to limit its liability for a breach of a Non-Excludable Right, its liability is limited, at its option, to supplying the Software again or paying the cost of having it supplied again.

14. Limits on liability

To the extent permitted by law, and subject to clause 13:

(a) Vantic is not liable for any indirect or consequential loss, or for loss of profits, revenue, data, goodwill or opportunity, arising from the Software or this agreement;

(b) Vantic is not liable for the tools, services or content of third parties, including agent CLIs and AI providers, or for anything an agent does in your projects; and

(c) Vantic's total liability for all claims relating to the Software is limited to the amount you paid Vantic for it in the 12 months before the event that gave rise to the claim (which is nothing while Panorama is free).

15. Changes to this agreement

We may update this agreement. The current version is on the Panorama website with its date at the top. For material changes we will give notice in the Software, on the website or both. If you keep using the Software after a change takes effect, you accept it. If you do not accept it, stop using the Software.

16. Governing law

This agreement is governed by the laws of Victoria, Australia, and the Commonwealth of Australia. Each party submits to the non-exclusive jurisdiction of the courts of Victoria and the federal courts sitting there.

17. General

This agreement, with the Privacy Policy and the notices mentioned in clause 5, is the whole agreement between you and Vantic about the Software. If a court finds part of it unenforceable, the rest still applies. A delay in enforcing a right is not a waiver of it. You may not transfer your rights under this agreement without Vantic's written consent. Vantic may transfer its rights and obligations to a successor to its business.
